By accessing or using BidForeman ("the Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Platform. These terms apply to all users, including contractors, subcontractors, and any other parties who access the Platform.
BidForeman is a software-as-a-service (SaaS) platform designed to assist field service contractors in creating estimates and proposals. The Platform provides tools for job walkthroughs, AI-assisted estimate generation, and branded proposal creation. BidForeman is a back-office productivity tool. It does not guarantee the accuracy of any estimate, and all estimates generated are for contractor use only as a starting point. Final pricing decisions remain solely with the contractor.
Estimates generated by BidForeman are based on information entered by the user and contractor-defined labor rates. BidForeman LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for any particular purpose of any estimate or proposal generated through the Platform. Labor rates, material costs, and scope of work are entirely the responsibility of the contractor. BidForeman LLC is not liable for any underbid, overbid, contract dispute, or financial loss arising from the use of estimates or proposals generated through the Platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify BidForeman immediately of any unauthorized access or use of your account. BidForeman LLC is not liable for any loss or damage arising from unauthorized use of your account. You may not share your account with others or use another user's account without permission.
BidForeman is a subscription-based service. By subscribing, you authorize BidForeman LLC to charge your payment method on a recurring basis at the rate applicable to your selected plan. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. BidForeman LLC reserves the right to modify pricing with 30 days written notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing. Subscriptions may be cancelled at any time through your account settings. Cancellation takes effect at the end of the current billing period.
The Platform, including all software, designs, text, graphics, and other content, is the property of BidForeman LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your own business purposes. You may not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent from BidForeman LLC. Proposals and estimates generated using your own data and input remain your property. BidForeman LLC retains ownership of the underlying Platform, AI models, and generation systems.
You agree not to use the Platform to: (a) violate any applicable laws or regulations; (b) transmit any material that is defamatory, offensive, or otherwise objectionable; (c) attempt to gain unauthorized access to any portion of the Platform; (d) interfere with or disrupt the integrity or performance of the Platform; (e) reverse engineer, decompile, or disassemble any portion of the Platform; (f) use the Platform to compete with BidForeman LLC or to build a similar or competing product.
To the maximum extent permitted by applicable law, BidForeman LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Platform, even if BidForeman LLC has been advised of the possibility of such damages. BidForeman LLC's total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to BidForeman LLC in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless BidForeman LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of any third party.
BidForeman LLC reserves the right to suspend or terminate your account at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Platform will immediately cease. BidForeman LLC may, but is not obligated to, provide you with a copy of your data upon termination. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Tulsa County, Oklahoma.
BidForeman LLC reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page and, where appropriate, by notifying you via email. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
